These Terms of Service (“Terms”) govern your access to and use of the Insomniac AI website at insomniacai.com (the “Site”) and any related services, forms, chat tools, calendar bookings, SMS messages, and email communications (collectively, the “Services”) provided by Insomniac AI LLC (“Insomniac AI,” “we,” “us,” or “our”).

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

Who We Are

Insomniac AI LLC is a Georgia limited liability company headquartered in Atlanta, Georgia, providing AI-powered automation, custom development, and educational workshops primarily to small businesses in the Augusta, Georgia area.

Services Offered

The Site is a marketing and lead-generation site for the following services:

  • Insomniac Smart CRM — an AI-powered customer relationship platform with features including AI Receptionist, Website AI Concierge, Smart Lead Nurture, Pipeline Intelligence, Unified Inbox, and Review Engine
  • Custom AI Development — bespoke automation, API integrations, and AI tooling
  • AI Education and Workshops — on-site and (in the future) public training sessions

Specific service agreements, deliverables, pricing, and timelines are governed by separate written agreements between Insomniac AI and clients. These Terms apply to your use of the Site itself.

Acceptance and Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms (on your own behalf, or on behalf of an organization you represent). By using the Site, you represent and warrant that you meet these requirements.

Use of the Site

You may use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable laws or regulations
  • Scrape, crawl, or harvest data from the Site without our express written permission
  • Attempt to gain unauthorized access to any portion of the Site, servers, or related systems
  • Interfere with or disrupt the Site, its security features, or other users
  • Use the Site to transmit spam, malware, or any malicious content
  • Misrepresent your identity or affiliation in any forms, communications, or interactions
  • Use the Site or any content within for competitive analysis or to develop a competing product without our written consent

Forms, Chat, Calendar, and Communications

When you submit a form, use our chat widget, book a calendar appointment, or interact with our Services, you agree to provide accurate and current information. You are responsible for keeping your contact information up to date.

SMS and Email Communications. If you opt in to receive SMS or email from us, please refer to our Privacy Policy for full details on how those communications are governed, including consent, frequency, opt-out instructions, and applicable charges. You can opt out of SMS by replying STOP, and unsubscribe from email by clicking the unsubscribe link in any marketing email.

Intellectual Property

All content on the Site, including text, graphics, logos, images, software, and other materials, is owned by or licensed to Insomniac AI and is protected by US and international intellectual property laws.

You may:

  • View, read, and share Site content for personal, non-commercial use
  • Share excerpts of blog posts (such as from The Night Shift) with proper attribution and a link back to the source

You may not:

  • Reproduce, distribute, sell, or commercially exploit Site content without our written permission
  • Use our logos, brand names, or trademarks without our written permission
  • Use the Site or its content to train AI models, large language models, or any machine learning systems without our written consent

User Submissions

If you submit content to us (form messages, chat conversations, email correspondence, etc.), you grant Insomniac AI a non-exclusive, royalty-free, worldwide license to use, store, reproduce, and process that content for the purposes of providing the Services, responding to your inquiry, and improving our offerings. You retain ownership of your submissions.

You represent that any content you submit is yours to submit (that is, you did not get it from someone else’s copyrighted material) and that it does not violate anyone’s rights or applicable law.

Disclaimers

The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Content is for general information only. Information on the Site (including blog posts on The Night Shift) is provided for general informational purposes and does not constitute professional, legal, financial, or tax advice. Consult appropriate professionals before making decisions based on Site content.

Results vary. Any statistics, outcomes, or examples mentioned (such as “improved lead response time” or “increased conversion rates”) describe results that some clients may have achieved. Your results will depend on factors specific to your business, including effort, market conditions, and implementation. Insomniac AI does not guarantee specific results.

Third-party services. The Site uses third-party services (including but not limited to GoHighLevel / LeadConnector for forms, chat, calendar, and messaging). We do not warrant the uninterrupted operation or specific performance of these third-party services.

Limitation of Liability

To the maximum extent permitted by law, Insomniac AI, its officers, members, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of the Site or Services, even if we have been advised of the possibility of such damages.

Our total cumulative liability under these Terms shall not exceed one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so these limitations may not apply to you to the extent prohibited.

Indemnification

You agree to indemnify and hold Insomniac AI harmless from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Site or Services
  • Your breach of these Terms
  • Your violation of any law or third-party right
  • Any content you submit or transmit through the Site

Termination

We may suspend or terminate your access to the Site or Services at any time, for any reason, with or without notice. You may stop using the Site at any time. Provisions of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will survive.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws provisions. Any disputes arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Columbia County, Georgia, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top reflects the most recent changes. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. For material changes, we will provide reasonable notice (such as posting a notice on the Site).

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any service-specific agreements you may have with Insomniac AI, constitute the entire agreement between you and Insomniac AI regarding the Site and Services.
